When We Engage

Resonance Exchange typically becomes involved at one or more of the following stages:

Pre-Financing Preparation
Supporting sponsors and operators in clarifying structure, positioning, and readiness prior to engaging institutional lenders.

During Institutional Engagement
Working alongside counterparties to support execution discipline, alignment, and communication throughout the financing process.

Post-Closing Alignment
Maintaining advisory involvement or minority alignment when it supports long-term outcomes beyond the initial transaction.

Each engagement is evaluated independently and structured to fit the specific circumstances.

Institutional Introductions (Referral-Based)

Where appropriate, Resonance Exchange supports referral-based introductions to institutional lending partners through established relationships.

These introductions are:

- Governed by written referral agreements

- Context-driven

- Selective

Resonance Exchange does not raise capital, market securities, or act as an intermediary between investors and issuers. Our role is limited to advisory support and referral introductions within defined parameters.

Resonance Exchange does not participate in credit decisions, underwriting, or the allocation of capital.

Alignment Through Advisory & Minority Interests

Alignment is strongest when incentives are structured for durability and long-term outcomes.

In certain engagements, Resonance Exchange may align interests through:

- Advisory arrangements

- Minority equity interests

- Any such alignment is negotiated directly with operating companies and held at the firm level. These structures are designed to reinforce long-term behavior rather than short-term outcomes.

Engagement Structure

All engagements are governed by written agreements that clearly define:

- Scope of involvement

- Roles and limitations

- Duration and termination provisions

- Economic terms, where applicable

Resonance Exchange does not operate on a volume model. Capacity is constrained by design, and engagements are undertaken deliberately.

Selectivity
